Terms of Service
Overview
These Terms of Service govern your access to and use of Phoenix Chronicle, a digital service operated by Phoenix Planner. By accessing or using Phoenix Chronicle, you agree to these Terms of Service. These terms apply only to Chronicle's digital services and subscriptions, and do not govern physical Phoenix Planner products.
Eligibility and Account Access
You must be legally capable of entering into a binding agreement to use Chronicle. You are responsible for providing accurate account information and for maintaining access to the email address associated with your account. You are responsible for activity that occurs through your account unless prohibited by law.
Free Plan and Paid Subscription Access
Chronicle may offer both a free plan and paid subscription plans. Paid Chronicle subscriptions renew automatically until canceled. By purchasing a paid plan, you authorize recurring charges using the payment method associated with your purchase, unless and until you cancel or pause the subscription through the billing portal if that option is made available there.
We may change pricing, plan structure, or feature availability prospectively. Any price change will apply no earlier than the next billing period unless otherwise required by law.
Cancellation and Pause
You may cancel your paid Chronicle subscription at any time through the billing portal link provided with your purchase by entering the email address used to subscribe. If the billing portal offers a pause option, you may use that option there as well.
Unless otherwise stated at the time of cancellation or pause, cancellation stops future renewal charges and remains effective at the end of the current paid billing period. A pause, if offered, takes effect according to the timing and options presented in the billing portal.
No Refunds
All Chronicle subscription charges are non-refundable except where required by applicable law. Canceling or pausing a subscription does not entitle you to a refund for the current billing period or for prior charges.
Acceptable Use
You agree not to:
- Use Chronicle for unlawful, fraudulent, or unauthorized purposes.
- Interfere with or disrupt Chronicle, its infrastructure, or related systems.
- Attempt to gain unauthorized access to accounts, data, or non-public areas of the service.
- Reverse engineer, copy, scrape, or exploit Chronicle except as permitted by law.
- Upload malicious code, harmful content, or material that infringes another party's rights.
- Use Chronicle in a way that could damage, disable, overburden, or impair the service.
Your Content
You retain ownership of the content you submit to Chronicle. You grant Phoenix Planner a limited, non-exclusive right to host, store, process, transmit, and display that content solely as needed to operate, secure, improve, and support Chronicle.
You are responsible for ensuring that you have the rights needed to upload or submit content to Chronicle and that your content does not violate applicable law or the rights of others.
AI Features
Chronicle may provide optional AI-assisted features, including transcription. These features may generate imperfect, incomplete, or inaccurate results. You are responsible for reviewing AI-generated output before relying on it. AI features are provided for convenience only and are not professional advice.
Third-Party Services
Chronicle may rely on third-party providers for billing, hosting, storage, authentication, AI processing, analytics, support, and related functions. Your use of third-party services may also be subject to those providers' terms and policies.
Availability and Changes
Chronicle is offered on an "as is" and "as available" basis. We may modify, suspend, or discontinue all or part of the service at any time, including features, plans, or availability, with or without notice, subject to applicable law.
Disclaimer of Warranties
To the fullest extent permitted by law, Phoenix Chronicle is provided without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that Chronicle will be uninterrupted, secure, error-free, or that data loss will never occur.
Limitation of Liability
To the fullest extent permitted by law, Phoenix Planner and its affiliates, owners, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising out of or related to Chronicle.
To the fullest extent permitted by law, our total liability for claims arising out of or related to Chronicle will not exceed the amount you paid for Chronicle during the 12 months before the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Phoenix Planner and its affiliates, owners, officers, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of your misuse of Chronicle, your content, or your violation of these terms or applicable law.
Governing Law
These Terms of Service and any dispute arising out of or relating to Chronicle are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules.
Changes to These Terms
We may update these Terms of Service from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Your continued use of Chronicle after an update becomes effective constitutes acceptance of the revised terms.
